How the companies work together

Group companies do business with each other, and the Group is explicit about how. Every intercompany sale follows the same four steps.

  1. 01

    Trigger

Afristok places a purchase order with Boocom, or books a haulage job with Aptila Logistics.

  2. 02

    Fulfil

Boocom delivers; Aptila Logistics moves the product — against a standing intercompany agreement.

  3. 03

    Invoice

The agreed pricing method is applied, and an invoice is raised between the two companies on normal commercial terms.

  4. 04

    Settle

Payment is made, both sets of books tie out, and the intercompany balance is confirmed at month-end.

Neither relationship is parent and subsidiary. Boocom and Afristok are sister companies under Aptila Capital. Afristok and Aptila Logistics sit in different branches of the Group altogether — Afristok under Aptila Capital, Aptila Logistics directly under Aptila Holding. They are counterparties, and they contract like it.

Aptila Logistics serves outside clients too, so the rate Afristok pays can be benchmarked against what the market pays.

Governance

Every company in the Group keeps its own board, its own statutory filings and its own audited accounts, which are then consolidated at Group level. The Group finance function, at Aptila Holding, sets one accounting policy, one chart of accounts and one reporting calendar across all of them.

Each company, one page.
